Can a lien waiver be signed electronically?
Yes. In nearly every state, a lien waiver can be signed electronically and is just as valid as a handwritten one under the federal ESIGN Act and state Uniform Electronic Transactions Act (UETA) laws. This holds for all four waiver types: conditional and unconditional, progress and final. As long as the signer agreed to do business electronically and the platform records who signed and when, the e-signed waiver is enforceable.
The one wrinkle is notarization, which two states attach to lien waivers. Where notarization is required, an electronic signature is still fine, but it also has to be electronically notarized. Everywhere else, a plain e-signature on the waiver does the job.
Do lien waivers need to be notarized?
In most states, no. A proper signature and compliance with your state's waiver rules are usually enough to make a lien waiver valid, and notarization is not required. As of 2026, two states are the exception: Mississippi and Wyoming strictly require a lien waiver to be notarized to be valid. In those states, an electronically signed waiver must also be electronically notarized, typically through remote online notarization (RON) over a video connection.
A few other states have form-specific or project-specific quirks, and Texas removed its notary requirement on statutory waiver forms back in 2022, though a custom or non-statutory waiver there may still be notarized by request. Because the rules are set state by state, confirm your own state's statute before you rely on an un-notarized waiver.
Are electronic signatures on lien waivers legal?
Yes. Electronic signatures on lien waivers are legal across the United States under the ESIGN Act and UETA, the same two laws that make e-signatures binding on contracts generally. A waiver cannot be denied legal effect just because it was signed electronically. The practical requirements are the ordinary ones for any e-signature: the signer intended to sign, consented to sign electronically, and the document is kept with a record of the signing. What is the difference between a conditional and unconditional lien waiver?
A conditional waiver only takes effect once payment actually clears, so it is safe to sign when you submit a pay application and are still waiting on the check. The progress versus final distinction is about timing: a progress waiver covers work through a certain date on an ongoing job, while a final waiver releases all remaining rights at the end of the project. Most pay cycles use a conditional progress waiver mid-job and an unconditional final waiver once you are paid in full.
What happens if you sign an unconditional lien waiver before payment?
You give up your lien rights for that amount before the money is in hand. An unconditional waiver takes effect on signing, so if you sign one and the payment never arrives or bounces, you have likely waived your right to file a mechanic's lien for that work, and recovering the money becomes much harder. The safe practice is to sign a conditional waiver until the payment clears, then sign the unconditional version.
